Client Work: Upon full payment, clients retain ownership of custom work created specifically for them, while TheCodeGate retains the right to use general methodologies, techniques, and know-how.

Company Materials: Our proprietary tools, frameworks, and methodologies remain the exclusive property of TheCodeGate.

5. Payment Terms

Payment terms are established in individual service agreements. General terms include:

• Project-based: Payment schedules are defined in project contracts
• Hourly services: Invoiced monthly with net 30-day payment terms
• Retainer agreements: Paid in advance on agreed schedule
• Late payments: Subject to 1.5% monthly service charge

All prices are exclusive of applicable taxes unless otherwise stated.

6. Privacy and Data Protection

We take your privacy seriously. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

7. Limitation of Liability

To the fullest extent permitted by law, TheCodeGate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability to you for all claims arising from or relating to our services shall not exceed the amount paid by you to TheCodeGate in the twelve (12) months preceding the claim.

8. Termination

Either party may terminate service agreements with appropriate notice as specified in individual contracts. TheCodeGate reserves the right to terminate or suspend access to our services immediately, without prior notice, for any breach of these Terms.

Upon termination, your right to use our services will cease immediately, and we may delete your account and all associated data.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
